This Distributor Agreement (“Agreement”) is entered into between MSJ HOME APPLIANCES (OPC) PRIVATE LIMITED (“Company”) and the individual or entity registering as a Distributor (“Distributor”).
The Company appoints the Distributor on a non-exclusive basis to promote and sell the Company’s products in accordance with applicable laws and company policies.
The Distributor is an independent contractor and not an employee, partner, or agent of the Company. This Agreement does not create any employer–employee relationship.
The Distributor agrees to comply with:
Government of India Direct Selling Guidelines, 2021
Company policies, Code of Conduct, and Compensation Plan
All applicable local, state, and central laws
Income is based solely on product sales and performance. The Company does not guarantee any fixed or assured income.
The Distributor shall not:
Make false income or product claims
Promote pyramid or money circulation schemes
Force purchases or misrepresent the business opportunity
The Company reserves the right to suspend or terminate the Distributor for violation of this Agreement or company policies, with or without prior notice.
The Distributor shall maintain confidentiality of company information, business plans, and customer data.
The Company may modify this Agreement from time to time. Continued participation constitutes acceptance of such changes.
This Agreement shall be governed by the laws of India, and disputes shall be subject to the jurisdiction of Indian courts.
